Terms and Conditions

These terms explain what ModePilot is allowed to do, what remains your responsibility, and where the service boundary sits.

1

Acceptance and Use of the Service

Agreement

By accessing or using ModePilot, you agree to these Terms and Conditions. If you do not agree, do not use the service.

You may use ModePilot only in compliance with applicable law, these terms, and the terms and policies of any third-party platform you connect.

You must be at least 13 years old to use ModePilot. Children under 13 are not permitted to use the service, including in the United States.

2

Connected Integrations and Authorization

What you authorize ModePilot to do

When you connect Slack, Google, Telegram, Everhour, or other integrations, you authorize ModePilot to access and use the scopes, credentials, and APIs needed to perform the features you enable.

Depending on your settings, that may include reading calendar data, updating Slack status, presence, and DND, creating calendar events, updating, rescheduling, or deleting ModePilot-created calendar events, sending Telegram messages, and creating, updating, or deleting Everhour records.

Calendar scheduling changes are limited to events created by ModePilot. Its scheduling features do not modify or delete calendar events created by you or other applications.

You are responsible for the accounts, workspaces, calendars, bots, and other resources you choose to connect.

Third-party platforms remain third-party

ModePilot is not responsible for downtime, API changes, permission changes, revocations, billing restrictions, or other behavior caused by third-party platforms.

Third-party services may change their own products, APIs, rate limits, permissions, and terms at any time, which may affect ModePilot functionality.

3

Your Responsibilities

Account, settings, and review

You are responsible for keeping your connected accounts secure, choosing appropriate settings, and reviewing whether automations are suitable for your workflow before relying on them.

You are also responsible for the names, schedules, habits, modes, overrides, calendars, and other configuration you create inside ModePilot.

Restricted uses

You may not use ModePilot to violate law, interfere with systems, attempt unauthorized access, abuse third-party services, or run automations that you are not permitted to run.

ModePilot is not designed for safety-critical, emergency, payroll, tax, employment-compliance, or other high-stakes use where an automation mistake could create material harm if not independently reviewed.

4

Accuracy, Availability, and Service Changes

No guarantee of perfect operation

ModePilot is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted availability, perfect timing, perfect synchronization, or error-free operation.

Automation outcomes depend on third-party APIs, your configuration, calendar data quality, token validity, time zone handling, network conditions, and other factors outside our full control.

Not a system of record

ModePilot should not be treated as your sole system of record for payroll, legal compliance, billing, tax, or audit-critical reporting. You should independently review important outputs before relying on them.

We may add, remove, modify, suspend, or discontinue features, integrations, APIs, or access paths at any time.

5

Suspension and Termination

Service access

We may suspend, restrict, or terminate access to ModePilot at any time, with or without notice, if we believe the service is being misused, creates unacceptable risk, or needs to be changed or retired.

You may stop using the service and disconnect integrations at any time.

6

Limitation of Liability

Liability limits

Where permitted by applicable law, ModePilot excludes liability for indirect, incidental, special, consequential, or exemplary damages arising from use of or inability to use the service.

Where permitted by applicable law, ModePilot excludes liability for lost profits, revenue, business opportunities, or contracts, and for business interruption arising from use of or inability to use the service, including missed or delayed notifications, incorrect status updates, and synchronization failures.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited. Mandatory consumer rights remain unaffected.

7

Indemnity

Your responsibility for misuse

You agree to defend, indemnify, and hold harmless ModePilot and its operators from claims, liabilities, damages, losses, and expenses arising out of your use of the service, your connected accounts, your configuration, or your violation of these terms or applicable law.

8

Intellectual Property and Your Data

ModePilot intellectual property

The ModePilot software, branding, designs, and service content, excluding your content, belong to their respective owners. Using ModePilot does not transfer ownership of those rights to you.

You receive a limited, non-exclusive, non-transferable permission to use ModePilot for your personal or internal business purposes in accordance with these terms. This does not give you permission to reproduce, distribute, resell, or sublicense the service, its branding, or its content without the relevant owner's permission.

These restrictions do not override applicable open-source or third-party licences, or uses permitted by applicable law.

Third-party names and logos

Third-party names, logos, and trademarks displayed by ModePilot remain the property of their respective owners. They are used to identify supported integrations and services. Their inclusion does not imply sponsorship or endorsement of ModePilot.

You retain ownership of your content

You retain ownership of the content and data you provide to ModePilot. Connecting a service does not transfer ownership of its content to ModePilot, and any rights belonging to other people remain theirs.

You give ModePilot only the permission needed to access, store, process, and transmit your content to operate the features you enable, in accordance with your settings and the Privacy Policy. This permission does not give ModePilot ownership of your content or permission to sell it.
